Terms of Use

These Terms of Use ("Terms") govern your access to and use of OpsAlign, a platform operated by ITOMAC Inc. ("ITOMAC", "we", "our", or "us"). By accessing or using OpsAlign, you agree to be bound by these Terms.

If you are accessing OpsAlign on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

1. Description of Service

OpsAlign is an IT operations maturity intelligence platform that provides assessment tools, analytics, risk quantification, and improvement roadmaps for IT operations organisations. Access is provided under a licence agreement and subject to payment of applicable fees.

Subject to these Terms and payment of fees, ITOMAC grants you a limited, non-exclusive, non-transferable licence to access and use OpsAlign for your organisation's internal business purposes during the licence term. You may not:

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify ITOMAC promptly of any unauthorised use of your account at info@itomac.com.

4. Payment Terms

Licence fees are due as specified in your engagement agreement. Annual licences are billed upfront. Where a payment instalment arrangement has been agreed, payment is due on the dates specified. All fees are non-refundable except as required by applicable law or as expressly stated in your agreement.

ITOMAC reserves the right to suspend access to the platform in the event of non-payment after reasonable notice.

5. Assessment Data and Confidentiality

You retain ownership of all data you input into OpsAlign ("Customer Data"). You grant ITOMAC a limited licence to process Customer Data solely to provide the services. ITOMAC treats Customer Data as confidential and will not disclose it to third parties except as described in the Privacy Policy or as required by law.

OpsAlign outputs — including maturity scores, risk reports, and roadmaps — are generated for your organisation's internal use. You may share these outputs externally (e.g. with boards, investors, or clients) provided you do not misrepresent the methodology or source.

6. Intellectual Property

OpsAlign, including its methodology, scoring framework, domain architecture, software, and all content produced by ITOMAC, is the intellectual property of ITOMAC Inc. and is protected by applicable intellectual property laws. Nothing in these Terms transfers ownership of any ITOMAC intellectual property to you.

8. Disclaimer of Warranties

OpsAlign is provided "as is" and "as available". To the maximum extent permitted by law, ITOMAC disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

OpsAlign outputs are advisory in nature and based on data you provide. ITOMAC does not warrant that outputs are complete, accurate, or suitable for any specific business decision. You are responsible for independently validating any outputs before acting on them.

9. Limitation of Liability

To the maximum extent permitted by law, ITOMAC's total liability to you for any claims arising from or related to these Terms or use of OpsAlign shall not exceed the total fees paid by you in the twelve months preceding the claim. In no event shall ITOMAC be liable for indirect, incidental, consequential, or punitive damages.

10. Indemnification

You agree to indemnify and hold harmless ITOMAC and its officers, employees, and agents from any claims, damages, or expenses arising from your use of OpsAlign in violation of these Terms or applicable law.

11. Term and Termination

These Terms remain in effect for the duration of your licence. ITOMAC may terminate or suspend your access immediately if you breach these Terms. Upon termination, your licence to use OpsAlign ceases and you must stop all use of the platform.

12. Governing Law

These Terms are governed by the laws of the jurisdiction in which ITOMAC Inc. is incorporated, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts of that jurisdiction.

13. Changes to These Terms

ITOMAC may update these Terms from time to time. We will notify active users of material changes. Continued use of OpsAlign after notice of changes constitutes acceptance of the updated Terms.
